Object of the activity
The Company carries out, in accordance with applicable legislation, the following main activities: insurance brokerage, consisting in the intermediation of insurance contracts between clients and authorized insurance companies, including activities of presentation, proposal, advisory, preparation and conclusion of insurance contracts, as well as assistance throughout their performance; intermediation in the field of private pensions, in its capacity as an authorized intermediary, including activities of information, promotion, advisory services and facilitation of adhesion to private pension funds, in accordance with the regulations of the Financial Supervisory Authority; associated consultancy services, consisting in the analysis of clients’ requirements and needs, the assessment of available market options, the formulation of recommendations appropriate to the client’s profile, as well as the provision of information regarding the characteristics, risks and benefits of the intermediated products. The Company does not act in its own name as an insurer or fund administrator, but exclusively in the capacity of intermediary, within the limits of the applicable legislation and the mandate granted under the contractual agreements concluded with its partners.

Company Status and Relationship with Providers
Kunden Broker Companie de Brokeraj S.R.L. acts as an intermediary collaborating with multiple providers and is not exclusively affiliated, within the meaning of the applicable legislation governing insurance distribution and private pensions, with any single product provider. The Company collaborates, on the basis of contractual agreements, with several product providers, namely insurance companies and private pension fund administrators authorized by the Financial Supervisory Authority (A.S.F.), having access to a diversified range of financial products and solutions. In carrying out its activity, the Company: acts in the client’s best interest, within the limits of the applicable legal framework; is not obliged to promote exclusively the products of a particular provider; analyses the products available within the portfolio of its contractual partners in order to identify solutions appropriate to the client’s profile; does not guarantee full market coverage, recommendations being made exclusively in relation to the products available within the existing contractual relationships. The recommendations provided to clients are based on: the analysis of their requirements and needs; the information provided by the client; the characteristics of the available products; compliance and suitability criteria established by applicable legislation and the Company’s internal procedures. Within its distribution activity, the Company implements internal control, monitoring and evaluation mechanisms, including, but not limited to: verification of compliance with the target market of distributed products; monitoring of the activity of persons involved in distribution (employees and insurance brokerage assistants); evaluation of their performance and compliance; application of corrective measures, including retraining or restriction of access to activity, in case of identified non-compliance. Furthermore, the Company ensures that persons involved in the distribution process: meet the requirements for initial and ongoing professional training; comply with integrity and good repute requirements; are subject to continuous training, evaluation and monitoring, in accordance with legal requirements and internal procedures. The Company does not have the authority to unilaterally modify the terms and conditions of the products offered by providers and does not assume responsibility for their contractual obligations, each provider being responsible for the products issued and for the performance of the contracts concluded with clients.
Professional Liability
The Company holds a professional liability insurance policy, in accordance with the legal requirements applicable in the field of insurance distribution and private pensions, intended to ensure client protection in relation to the activities carried out. This policy covers, within the limits and under the conditions set out in the insurance contract, potential material damages caused to clients as a result of errors, omissions or negligence in the intermediation process. The professional liability insurance: is maintained throughout the entire duration of the Company’s activity; complies with the minimum coverage levels required by applicable legislation; serves to guarantee the existence of a compensation mechanism in situations where the Company’s liability is engaged. The Company’s liability is engaged exclusively within the limits established by law and by the contracts concluded, and compensation may be granted only under the conditions and within the limits provided for in the professional liability insurance policy. The Company shall not be liable for: damages caused by product providers (insurers, fund administrators), who are directly responsible for the obligations undertaken under the contracts concluded with clients; decisions made by the client based on incomplete or inaccurate information provided by the client; risks inherent to financial or insurance products, assumed by the client upon signing the contractual documentation. The professional liability insurance policy does not affect the legal rights of clients to file complaints or to seek compensation in accordance with the law.
